Terms and Conditions

Welcome to Green Spring Inc. dba Green Spring Tractor™ (“Green Spring Tractor™,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website (the “Site”) and your purchases of products and services from us. By using the Site or making a purchase, you agree to these Terms.

If you do not agree, you must not use the Site or purchase from us.

1. Use of the Site

  • You may use the Site only for lawful purposes.
  • You may not attempt to hack, disrupt, or misuse the Site.
  • We may suspend or terminate access to the Site at our discretion if you violate these Terms.

2. Intellectual Property

  • All content on the Site—including text, images, graphics, designs, and product descriptions—is owned by Green Spring Tractor™ or our licensors.
  • You may not copy, reproduce, or distribute our content without written permission.
  • Unauthorized use may result in damages, including liquidated damages of up to $5,000 per violation, representing a reasonable pre-estimate of losses and not a penalty, or actual damages if greater, plus all other remedies available under law.

3. User Accounts

  • Some features may require an account. You are responsible for maintaining your login credentials.
  • Notify us immediately if you suspect unauthorized use of your account.
  • We may suspend or close accounts for violations of these Terms or misuse of our services.

4. Products, Pricing, and Orders

  • We sell new, used, and remanufactured tractor parts, equipment, and accessories, including Yanmar tractors and UTVs.
  • Unless specified as OEM, all new parts are aftermarket.
  • Product descriptions, availability, and prices may change without notice. We make reasonable efforts to ensure accuracy but do not guarantee it.
  • We may cancel or refuse orders in cases of pricing/listing errors, suspected fraud or misuse, or unavailability of the product. If cancelled after payment, you will receive a refund.
  • You are responsible for verifying fitment and compatibility before purchasing.
  • Green Spring Tractor™ is not affiliated with Deere & Company™ or its subsidiaries.

5. Payment

  • Payment must be made in full before shipment.
  • We accept major credit cards and PayPal.
  • All payments are processed in U.S. dollars.

6. Shipping and Delivery

  • Orders ship via UPS, USPS, and T-Force Freight.
  • Shipping costs are based on size, weight, and destination.
  • Title and risk of loss transfer to you when we deliver the order to the carrier.
  • Delivery times are estimates only; we are not responsible for delays caused by carriers, weather, or events outside our control.

7. Warranties and Returns

General

  • Unless explicitly stated otherwise, all products are sold “as is,” subject to any mandatory consumer rights under applicable state or federal law.

Used Parts

  • Covered by a 30-day limited warranty against failure under normal use, unless excluded at time of sale.

New Parts

  • Covered by a 1-year limited warranty against defects in materials and workmanship, unless excluded at time of sale.

Yanmar Products

  • Covered exclusively by the manufacturer’s warranty. Terms and exclusions are set by Yanmar.

Returns

  • Returns require prior authorization and must be requested within 30 days of purchase.
  • Returned items must be unused, in original condition, and accompanied by proof of purchase.
  • A restocking fee of 20% may apply, unless the return is due to our error.
  • Customers are responsible for return shipping unless the return is the direct result of our error.
  • Unauthorized or late returns will not be accepted.

Warranty Limitation

  • Our responsibility under warranty is limited to repair, replacement, or refund of the product, at our discretion.
  • We are not liable for incidental, consequential, or indirect damages, including labor, downtime, or loss of use.

8. Disclaimer of Warranties

  • The Site and all products are provided on an “as is” and “as available” basis.
  • Except as expressly stated, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • Some jurisdictions do not allow such disclaimers, so these may not apply to you.

9. Limitation of Liability

  • To the fullest extent permitted by law, our maximum liability for any claim is limited to the purchase price of the product involved.
  • This limitation applies except in cases of gross negligence, willful misconduct, or where otherwise prohibited by law.
  • Any claim must be brought within one (1) year of the event giving rise to the claim, or it is waived.

10. Indemnification

You agree to indemnify and hold harmless Green Spring Tractor™, its employees, and affiliates against claims, damages, or expenses (including reasonable attorneys’ fees) arising from:

  • your misuse of our Site or products, or
  • your violation of these Terms.

11. Arbitration and Class Action Waiver

  • Any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association under its rules.
  • Arbitration will take place in Pennsylvania, unless otherwise required by law.
  • By agreeing to these Terms, you waive the right to bring or participate in a class action or jury trial.
  • Opt-Out: You may opt out of arbitration by sending written notice via certified mail to:

    within thirty (30) days of your purchase.

12. Force Majeure

We are not responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, labor disputes, supply chain disruptions, pandemics, or governmental actions.

13. Governing Law and Jurisdiction

  • These Terms are governed by the laws of the Commonwealth of Pennsylvania.
  • Except where prohibited by mandatory consumer protection laws in your state, disputes must be brought exclusively in the state or federal courts located in Pennsylvania.

14. Changes to Terms

  • We may update these Terms at any time.
  • Changes will apply to new transactions after posting.
  • For material changes, we will provide notice through our Site or by email where possible.

15. User Content and Reviews

  • If you submit reviews, comments, or other content, you grant us a non-exclusive license to use them for promotional purposes.
  • You represent and warrant that you own or have the right to submit any content you provide.
  • You may not post unlawful, defamatory, misleading, or false content about our products or business.
  • We are not responsible for user-submitted content.

16. Severability and Survival

  • If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Sections relating to warranties, limitations of liability, indemnification, arbitration, and intellectual property will survive termination of these Terms.
